1. Description of the Service

ScalerForce provides a business productivity, workflow management, and scheduling platform designed to help professionals manage contacts, leads, activities, communications, and calendar scheduling.

The Service may include tools for:

• activity tracking
• contact and lead management
• workflow automation
• reporting and analytics
• communication tracking
• calendar scheduling and synchronization

The Service is provided solely as a productivity and organizational tool.

ScalerForce does not provide financial, tax, legal, investment, compliance, or insurance advice.

2. Eligibility

To use the Service you must:

• Be at least 18 years old
• Have the legal authority to enter into a binding agreement
• Use the Service for lawful business purposes

By using the Service you represent and warrant that you meet these requirements.

3. Account Registration

Certain features of the Service require registration.

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Notify ScalerForce immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4. Google Account Integration

ScalerForce may allow users to connect their Google account in order to enable scheduling and calendar synchronization features.

If you choose to connect your Google account:

• You authorize ScalerForce to access certain Google account data through the Google Calendar API
• Access is limited to what is required to create, update, or delete calendar events generated through the Service

ScalerForce only accesses calendar information necessary to operate scheduling features initiated by the user.

5. Compliance with Google API Services User Data Policy

ScalerForce's use of information received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements.

Specifically:

Information obtained from Google APIs will:

• Only be used to provide or improve user-visible features of the Service
• Not be used for advertising purposes
• Not be sold to third parties
• Not be used to build advertising profiles
• Not be used for AI or machine learning model training

Google user data is used solely to provide the features requested by the user.

6. Revoking Google Access

Users may revoke ScalerForce's access to their Google account at any time by visiting: https://myaccount.google.com/permissions

Once access is revoked, ScalerForce will no longer be able to access or modify the user's Google Calendar.

7. User Responsibilities

You agree not to use the Service to:

• Violate any law or regulation
• Upload or process personal data without proper consent
• Engage in deceptive or fraudulent activity
• Send spam or unauthorized communications
• Harass or harm others
• Circumvent platform security
• Reverse engineer the Service
• Use the Service to send unsolicited, bulk, or unauthorized SMS messages or communications without proper consent

You are responsible for ensuring your use of the Service complies with all applicable laws and regulations.

8. SMS Messaging and Communications

The Service may enable users to send SMS messages to contacts for purposes such as meeting confirmations, event invitations, scheduling updates, and related follow-up communications.

By using the Service to send SMS messages, you agree to comply with all applicable laws, regulations, and industry guidelines governing communications, including but not limited to the Telephone Consumer Protection Act (TCPA) and applicable carrier requirements.

You represent and warrant that:

• You have obtained prior express consent from each recipient before sending any SMS message through the Service
• The recipient has agreed to receive communication related to a specific meeting, event, or business interaction
• You will not send unsolicited messages, bulk spam, or cold outreach through the Service
• You will only send messages that are relevant to an existing relationship or agreed-upon interaction

You further agree that:

• All SMS messages must include clear identification of the sender
• Recipients must be provided with the ability to opt out of future messages
• If a recipient opts out (e.g., replies STOP), you will immediately cease further messaging to that recipient

ScalerForce does not initiate messages and does not determine recipients or message content. All communications are sent at the direction of users.

You are solely responsible for:

• Obtaining and maintaining valid consent records
• Ensuring your messaging practices comply with all applicable laws and regulations
• The content and delivery of messages sent through the Service

ScalerForce reserves the right to suspend or terminate accounts that violate messaging policies or applicable laws.

9. User Data and Ownership

You retain ownership of all data you submit to the Service ("User Data").

By using the Service you grant ScalerForce a limited license to process User Data solely for the purpose of:

• operating the Service
• maintaining the Service
• improving functionality
• providing customer support

ScalerForce does not claim ownership of your data.

10. Data Processing

With respect to personal data processed through the Service:

• You act as the data controller
• ScalerForce acts as a data processor / service provider

ScalerForce processes data only according to user instructions and these Terms.

11. Third-Party Services

The Service may integrate with third-party services including but not limited to:

• Google services
• messaging providers
• analytics services
• infrastructure providers

ScalerForce is not responsible for the availability or policies of third-party services.

Use of third-party services is subject to their own terms.

12. Fees and Payments

Some features of the Service may require payment.

Unless otherwise stated:

• Fees are billed in advance
• Fees are non-refundable
• Pricing may change with notice

Failure to pay may result in suspension or termination of access.

13. Free Trials

ScalerForce may offer free trial access.

Trial access:

• may include limited features
• may be modified or discontinued at any time
• may require payment to continue using the Service

14. Suspension and Termination

You may terminate your account at any time.

ScalerForce may suspend or terminate access if:

• these Terms are violated
• the Service is misused
• necessary to protect the platform or other users
• required by law

Upon termination, access to the Service will cease.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available".

ScalerForce makes no guarantees regarding:

• business outcomes
• income or commissions
• lead conversion rates
• regulatory compliance
• uninterrupted service availability

16. Limitation of Liability

To the maximum extent permitted by law, ScalerForce shall not be liable for:

• lost profits
• business interruption
• loss of data
• indirect or consequential damages

ScalerForce's total liability shall not exceed the amount paid by you to ScalerForce during the twelve (12) months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless ScalerForce from claims arising from:

• your use of the Service
• User Data you upload
• communications sent through the Service
• violations of law or third-party rights
• communications sent via SMS or other messaging features through the Service

18. Privacy

Use of the Service is also governed by the ScalerForce Privacy Policy, which explains how personal data is collected and used.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

20. Changes to These Terms

ScalerForce may update these Terms from time to time.

Updates will be reflected by the "Last Updated" date.

Continued use of the Service constitutes acceptance of updated Terms.
