Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, applications, and software platform (the "Service") operated by ScalerForce ("ScalerForce", "Company", "we", "our", or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Description of the Service

ScalerForce provides a business productivity, workflow management, and scheduling platform designed to help professionals manage contacts, prospects, activities, communications, and calendar scheduling.

The Service may include tools for:

  • activity tracking
  • contact and prospect management
  • workflow automation
  • reporting and analytics
  • communication tracking
  • calendar scheduling

The Service is provided solely as a productivity and organizational tool.

ScalerForce does not provide financial, tax, legal, investment, compliance, or insurance advice.

ScalerForce is an independent software platform. ScalerForce is not affiliated with, endorsed by, or sponsored by World Financial Group, Inc. ("WFG"), Transamerica Corporation, or any of their affiliates, subsidiaries, or licensees. References to these or any other companies within the Service are for descriptive purposes only and do not imply any partnership, agency, employment, or endorsement relationship.

2. Eligibility

To use the Service you must:

  • Be at least 18 years old
  • Have the legal authority to enter into a binding agreement
  • Use the Service for lawful business purposes

By using the Service you represent and warrant that you meet these requirements.

3. Account Registration

Certain features of the Service require registration.

You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your login credentials
  • Notify ScalerForce immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4. Calendar Files (.ics)

When you schedule a meeting through the Service, ScalerForce generates a calendar file (.ics) describing the meeting and delivers it to you and to meeting attendees by email and SMS so that recipients can add the meeting to a calendar of their choice.

You may optionally connect your Google Calendar so that meetings scheduled through the Service appear on it automatically. If you do, ScalerForce creates its own dedicated ScalerForce calendars and writes meeting events to them one way only; it does not read, modify, or delete your existing calendars or events, and it does not import events from your calendar back into the Service. You can disconnect at any time from your profile, which removes the ScalerForce calendars it created. See our Privacy Policy for details on how calendar data is handled.

5. User Responsibilities

You agree not to use the Service to:

  • Violate any law or regulation
  • Upload or process personal data without proper consent
  • Engage in deceptive or fraudulent activity
  • Send spam or unauthorized communications
  • Harass or harm others
  • Circumvent platform security
  • Reverse engineer the Service
  • Use the Service to send unsolicited, bulk, or unauthorized SMS messages or communications without proper consent
  • Store, transmit, or otherwise process records, communications, or other materials that are subject to securities-industry recordkeeping or supervision requirements (including but not limited to FINRA Rules 4511 and 3110 and SEC Rule 17a-4). The Service is not designed or intended for the storage or supervision of securities-related materials, and users who are registered representatives or otherwise subject to such requirements must use a separate, compliant system for those records.

You are responsible for ensuring your use of the Service complies with all applicable laws and regulations.

6. SMS Messaging and Communications

The Service may enable users to send SMS messages to contacts for purposes such as meeting confirmations, event invitations, scheduling updates, and related follow-up communications.

By using the Service to send SMS messages, you agree to comply with all applicable laws, regulations, and industry guidelines governing communications, including but not limited to the Telephone Consumer Protection Act (TCPA) and applicable carrier requirements.

You represent and warrant that:

  • You have obtained prior express consent from each recipient before sending any SMS message through the Service
  • The recipient has agreed to receive communication related to a specific meeting, event, or business interaction
  • You will not send unsolicited messages, bulk spam, or cold outreach through the Service
  • You will only send messages that are relevant to an existing relationship or agreed-upon interaction

You further agree that:

  • All SMS messages must include clear identification of the sender
  • Recipients must be provided with the ability to opt out of future messages
  • If a recipient opts out (e.g., replies STOP), you will immediately cease further messaging to that recipient

ScalerForce does not initiate messages and does not determine recipients or message content. All communications are sent at the direction of users.

You are solely responsible for:

  • Obtaining and maintaining valid consent records
  • Ensuring your messaging practices comply with all applicable laws and regulations
  • The content and delivery of messages sent through the Service

ScalerForce reserves the right to suspend or terminate accounts that violate messaging policies or applicable laws.

The representations, warranties, and obligations in this Section 6 apply equally to any other outbound communications sent through or facilitated by the Service, including email reminders, calendar invitations (.ics files), and similar notifications. For all such communications you are the sender of record and remain solely responsible for compliance with applicable anti-spam, anti-robocall, and consent laws (including the CAN-SPAM Act, the Telephone Consumer Protection Act, and any applicable state-level analogues).

7. User Data and Ownership

You retain ownership of all data, contacts, leads, prospects, notes, documents, account information, and other information you submit to the Service ("User Data").

By using the Service, you grant ScalerForce a limited, non-exclusive license to process, store, transmit, display, disclose, and otherwise use your User Data solely for the purpose of:

  • Operating the Service;
  • Maintaining and securing the Service;
  • Providing the features and functionality of the Service;
  • Improving the Service;
  • Providing customer support; and
  • Fulfilling your instructions as provided through the Service.

ScalerForce does not claim ownership of your User Data.

ScalerForce will not contact, solicit, market to, sell, or rent the contacts, leads, prospects, or other User Data you upload, except as necessary to provide the Service or as required by law. Any marketing communications from ScalerForce are sent only to registered account holders and never to contacts you have uploaded.

Organizational Data Sharing

Certain features of the Service are designed to facilitate collaboration, coaching, accountability, reporting, compliance, business management, recruiting, and organizational oversight within an organization.

If you create, join, are invited to join, or otherwise connect your account to an organization, team, or upline hierarchy within the Service, you acknowledge and agree that authorized members of your upline may view, access, process, and use certain information relating to your account as part of the normal functionality of the Service.

For purposes of these Terms, "upline" means every authorized user within your organizational hierarchy above your account, whether directly or indirectly, including your direct recruiter, their recruiter, and all higher levels of the hierarchy.

You acknowledge and agree that authorized members of your upline may access information including, without limitation:

  • (a) Your User Data, including information you submit to the Service such as prospect names, pipeline stages, notes, activities, meeting history, statuses, tasks, onboarding information, recruiting information, production information, documents, and other prospect- or business-related information you enter into the Service;
  • (b) Information relating to your use of the Service, including your activity within the platform, workflow progress, onboarding progress, meetings created or completed, follow-up activity, recruiting metrics, production metrics, login activity, feature usage, performance information, and other operational information generated through your use of the Service;
  • (c) Information relating to individuals whom you invite or recruit into the Service. If you invite, sponsor, recruit, or otherwise cause another individual to create an account within your organization, you acknowledge and agree that, once that individual joins your organization, their account information, User Data, activity within the Service, prospect information, workflow information, performance information, and other information generated through their use of the Service may likewise be visible to and shared with all authorized members of their upline hierarchy, including you and every authorized user above you in the organizational hierarchy, as part of the normal functionality of the Service.

Phone numbers and email addresses are not shared with authorized members of the upline through the standard functionality of the Service unless expressly authorized by the applicable user or through features of the Service specifically designed to share such information, including the "Request Upline Help" feature.

Such information is made available solely to support the collaborative functionality of the Service, including coaching, mentoring, reporting, accountability, compliance, recruiting, business management, organizational oversight, and operation of the Service.

By creating, joining, or connecting your account to an organization or upline, you expressly authorize ScalerForce to process, display, and make such information available to authorized members of your upline in accordance with the functionality of the Service.

You represent and warrant that you have all necessary rights, permissions, and legal authority to upload, process, and share all User Data submitted through the Service, including sharing such information with authorized members of your organization's upline as contemplated by these Terms.

8. Data Processing

With respect to personal data processed through the Service:

  • You act as the data controller (or equivalent legal role under applicable law).
  • ScalerForce acts as a data processor or service provider on your behalf.
  • ScalerForce processes personal data only as necessary to provide the Service, in accordance with your instructions, these Terms, and applicable law.
  • You expressly instruct ScalerForce to process, store, display, and disclose User Data and information relating to your use of the Service to authorized members of your organization and upline hierarchy as required by the functionality of the Service and your account configuration.
  • You further acknowledge and agree that individuals who join your organization through your invitation or sponsorship are likewise subject to the organizational data-sharing functionality described in these Terms.
  • You represent and warrant that you have obtained all necessary rights, permissions, and legal bases required under applicable law to collect, upload, process, and share all personal data submitted to the Service.

9. Third-Party Services

The Service may integrate with third-party services including but not limited to:

  • messaging providers
  • analytics services
  • infrastructure providers

ScalerForce is not responsible for the availability or policies of third-party services.

Use of third-party services is subject to their own terms.

10. Fees and Payments

Some features of the Service may require payment.

Unless otherwise stated:

  • Fees are billed in advance
  • Fees are non-refundable
  • Pricing may change with notice

Failure to pay may result in suspension or termination of access.

11. Free Trials

ScalerForce may offer free trial access.

Trial access:

  • may include limited features
  • may be modified or discontinued at any time
  • may require payment to continue using the Service

12. Suspension and Termination

You may terminate your account at any time.

ScalerForce may suspend or terminate access if:

  • these Terms are violated
  • the Service is misused
  • necessary to protect the platform or other users
  • required by law

Upon termination, access to the Service will cease.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available".

ScalerForce makes no guarantees regarding:

  • business outcomes
  • income or commissions
  • lead conversion rates
  • regulatory compliance
  • uninterrupted service availability

14. Limitation of Liability

To the maximum extent permitted by law, ScalerForce shall not be liable for:

  • lost profits
  • business interruption
  • loss of data
  • indirect or consequential damages

ScalerForce's total liability shall not exceed the amount paid by you to ScalerForce during the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless ScalerForce from claims arising from:

  • your use of the Service
  • User Data you upload
  • communications sent through the Service
  • violations of law or third-party rights
  • communications sent via SMS or other messaging features through the Service

16. Privacy

Use of the Service is also governed by the ScalerForce Privacy Policy, which explains how personal data is collected and used.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

18. Changes to These Terms

ScalerForce may update these Terms from time to time.

Updates will be reflected by the "Last Updated" date.

Continued use of the Service constitutes acceptance of updated Terms.
